Terms of Use

These Terms of Use (“Terms”, “Agreement”) govern your use of the CROSS Rewards service (“Rewards Service”, “Service”), provided by Nexus Co., Ltd. ("Nexus", "Company", "we", "us", or "our"). The Service enables users to deposit CROSS tokens into an on-chain Reward Pool and receive proportional, real-time distributions sourced from fee inflows generated within the CROSS Ramp ecosystem. This Service is not a staking service, not an investment product, and does not guarantee earnings or provide financial returns. By accessing or using the Service, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree, you must discontinue use of the Service.

1. Introduction

Nexus provides a blockchain-based reward distribution service that interacts with the CROSS Ramp ecosystem. Through the Rewards Service, users may deposit CROSS tokens and receive on-chain reward allocations based solely on fee activity occurring within CROSS Ramp. All interactions occur through the user’s own non-custodial wallet. The Service is provided on an “as is” basis and is not intended to constitute financial, investment, or custodial services.

2. Key Features and Structure

The Rewards Service enables users to:

• Connect a CROSSx Wallet (mobile or desktop)
• Deposit CROSS tokens into designated Reward Pools
• Receive proportional reward allocations based on fee activity
• Withdraw deposits at any time (subject to smart contract functionality)
• Claim accumulated rewards
• View personal activity and pool statistics through dashboards

2.1 Eligibility

By using the Service, you represent and warrant that:

• You are of legal age and able to enter into binding agreements
• You are not subject to international sanctions
• You comply with all applicable local laws, including digital asset regulations
• You are using the Service on your own behalf and not for prohibited activities

2.2 Reward Allocation Method

Rewards are allocated to users automatically and proportionally based on each user’s share of the total amount of CROSS deposited in a given Reward Pool. When transaction fees are generated within the CROSS Ramp ecosystem, a portion of such fees is transferred on-chain to the applicable Reward Pool. Upon such fee inflow, rewards are immediately and proportionally distributed to all users who have an active deposit in that Reward Pool at that time.

Your reward entitlement increases as rewards accumulate over time, and you may claim any available rewards at your discretion. If you withdraw your deposited amount, any unclaimed rewards will be automatically claimed together with your withdrawal. The entire reward allocation process is executed through smart contracts and occurs without manual intervention. Nexus does not guarantee the amount, timing, or frequency of any rewards, as all reward distributions depend solely on the fee activity within the CROSS Ramp ecosystem.

3. Service Features

The Rewards Service provides users with a set of deposit-based functions that allow you to participate in reward distribution and manage your interaction with various Reward Pools. The following functions are available through the Service:

3.1 Connect Wallet

You may access and use the Service by connecting your CROSSx Wallet (mobile or desktop). Nexus does not store or have access to private keys and cannot assist with wallet recovery.

3.2 Reward Pool Selection

Each Reward Pool may correspond to a specific game or project. Initially, only the ROHAN2 Reward Pool is available, with additional pools to be added over time.

3.3 Deposit

You may deposit CROSS tokens into a Reward Pool at any time. Depositing increases your share of that Pool and allows you to begin receiving rewards immediately. No lock-up period applies unless explicitly stated.

3.4 Additional Deposit

You may add additional CROSS tokens to an existing deposit. Making an additional deposit does not affect any accumulated rewards and simply increases your share in the Reward Pool.

3.5 Withdraw

You may withdraw the entirety of your deposited amount at any time, subject to the applicable functionality of the smart contract. When you withdraw, all unclaimed rewards will be automatically claimed and transferred to you.

3.6 Claim

You may claim any accumulated and unclaimed rewards without withdrawing your deposit. Claiming does not affect your deposit balance or your participation in the Reward Pool.

3.7 Dashboard (Pool Information)

The Service provides an overview of each Reward Pool, including:

• Total amount deposited by all users
• Total rewards accumulated over recent periods
• Non-binding, informational metrics such as estimated earning indicators

Such estimates are provided solely for user reference and do not represent guaranteed returns.

3.8 Dashboard (My Activity)

You may view your personal status within each Reward Pool, including your deposited amount, accumulated rewards, and any claimable balance.

3.9 History

You may review your previous deposits, withdrawals, and reward claims.

4. User Responsibilities

You are solely responsible for:

• Managing your own wallet, private keys, and device security
• Ensuring the correctness of all on-chain transactions
• Understanding blockchain risks including volatility, smart contract risks, and transaction delays
• Paying network gas fees associated with your actions

Nexus does not custody user assets and cannot recover lost or misdirected transactions.

5. Prohibited Activities

You agree not to:

• Use the Service for any unlawful, fraudulent, or harmful purposes
• Manipulate or exploit the reward mechanism
• Interfere with or disrupt the Service or smart contract operations
• Reverse-engineer, replicate, or tamper with the Service
• Use automated systems or exploits to gain unfair advantage

6. Third-Party Services

The Service may interact with the CROSS Ramp ecosystem and other decentralized services. Nexus does not control third-party protocols and is not responsible for their performance, availability, or accuracy.

Reward behavior may vary based on third-party contract logic, and users assume all risks associated with interacting with such systems.

7. Disclaimers

To the maximum extent permitted by law:

• The Service is provided “as is” and “as available”
• Nexus disclaims all warranties, express or implied
• Rewards are not guaranteed and may fluctuate or cease entirely
• Smart contract risks, market risks, and technological risks are inherent
• Nexus is not liable for loss of tokens, decrease in value, transaction failures, or service interruptions

8. Limitation of Liability

Nexus shall not be liable for:

• Any indirect, incidental, or consequential damages
• Loss of digital assets or private keys
• Changes in token value or reward levels
• Vulnerabilities or failures in blockchain networks or smart contracts
• User errors, including mis-sent transactions

Nexus’ total liability shall not exceed USD 100.

9. Indemnification

You agree to indemnify and hold harmless Nexus and its affiliates from any claims, losses, or liabilities arising out of:

• Your use or misuse of the Service
• Your violation of these Terms
• Your on-chain activities

10. Modifications and Suspension

Nexus may modify, suspend, or discontinue the Service, including any Reward Pool, at any time for operational, technical, or legal reasons. Nexus is not obligated to provide compensation for such modifications.

Your continued use after any updates constitutes acceptance of the revised Terms.

11. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the Republic of Korea.
All disputes shall be resolved exclusively by the Seoul Central District Court.
Users waive participation in class-action proceedings.
