Terms of Use

1. Introduction

Nexus Co., Ltd. (“Nexus”, “Company”, “we”, “us”, or “our”) operates the CROSS Shop (“Shop”), a decentralized Web3 marketplace that enables users (“Users”) to purchase, hold, and utilize in-game digital items (“Items”) issued by third-party Web3 games (“Games”) onboarded to the CROSS Platform.

By accessing or using the Shop, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use (“Terms”). If you do not agree, you must not use the Shop.

2. Nature of Service

The Shop allows Users to:

• Browse, list, and purchase blockchain-based in-game Items issued by third-party Games integrated into the CROSS Platform;
• Conduct transactions using Digital Assets directly through wallet-to-wallet (non-custodial) smart contract interactions; and
• Transfer purchased Items to their respective Games for in-game usage.

All transactions occur directly on-chain, and Nexus does not hold or manage Users’ Digital Assets or Items.

3. Eligibility

Users must be of legal age under their applicable jurisdiction and must not appear on any sanctions or restricted persons list.

By using the Shop, you represent and warrant that:

• You are lawfully able to enter into and perform transactions under these Terms;
• You comply with all applicable local laws, regulations, and tax obligations; and
• Neither you nor your wallet address is listed on any sanctions list maintained by the UN, OFAC, EU, BVI, or Republic of Korea.

4. Security and Wallet Responsibility

The Shop is non-custodial. All transactions are executed from and to Users’ self-managed wallets. Nexus does not have access to, nor custody of, Users’ private keys, seed phrases, or passwords. You are solely responsible for:

• Maintaining the security of your wallet, private keys, and devices;
• Verifying all transaction details before execution; and
• Bearing any losses arising from unauthorized access, loss of keys, or mistaken transfers.

Nexus shall not be liable for any loss of Items or Digital Assets due to your mishandling, negligence, or compromise of your wallet security.

5. Wallet-to-Wallet Transactions

All purchases and transfers conducted via the Shop occur directly between blockchain addresses of the User and the Game publisher.

Once a transaction is confirmed on the blockchain, it is irreversible, and Nexus cannot modify, cancel, or refund such transactions.

The transparency and immutability of blockchain technology mean all transaction records are publicly viewable.

6. Fees and Gas Costs

All blockchain transactions are subject to network transaction fees (“gas fees”). Users are responsible for ensuring sufficient balance to cover such fees.

During certain promotional campaigns, Nexus may temporarily subsidize or waive gas fees.

Details of such promotions, including duration and applicable scope, will be announced through official channels such as the CROSS Shop notice board or website.

Nexus reserves the right to modify or terminate such promotions at its sole discretion.

7. Game Integration and Item Use

Each Item is intended solely for in-game use within its designated Game environment.

Nexus does not guarantee the usability, compatibility, or continued availability of any Item in any specific Game. All aspects of Item functionality, restrictions, and economic value are determined exclusively by the relevant Game operator.

Nexus assumes no liability for:

• Game updates or policy changes that affect Item usability;
• Item burn, freeze, or withdrawal functions; or
• Any losses arising from Game-side decisions or smart contract bugs.

8. Third-Party Services and Responsibility

Nexus merely provides an interface for decentralized transactions and does not act as broker, custodian, or escrow agent.

All Games and their smart contracts are developed and managed by third parties.

Your interactions with such third parties are at your own risk and subject to their respective terms and privacy policies.

Nexus makes no representations or warranties about the authenticity, legality, or safety of third-party smart contracts or content.

9. Acceptable Use Policy

You agree not to:

• Use the Shop for fraudulent, illegal, or unauthorized purposes;
• Manipulate transactions, prices, or item listings;
• Attempt to exploit or disrupt the Shop’s operation, including via bots or smart contract exploits;
• Use the Shop in violation of AML/CTF laws or sanctions regulations.

Violations may result in suspension or permanent denial of access without prior notice.

10. Disclaimer and Limitation of Liability

YOU EXPRESSLY ACKNOWLEDGE THAT YOUR USE OF THE SHOP IS AT YOUR SOLE RISK.

THE SHOP, INCLUDING ALL CONTENT, FUNCTIONALITY, AND SMART CONTRACT INTERFACES, IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXUS SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

NEXUS DOES NOT GUARANTEE THAT:

• THE SHOP OR ITS SMART CONTRACTS WILL BE CONTINUOUS, ERROR-FREE, OR UNINTERRUPTED;
• ANY GAME OR ITEM WILL REMAIN AVAILABLE OR FUNCTION AS INTENDED; OR
• DIGITAL ASSET PRICES OR ITEM VALUES WILL REMAIN STABLE.

NEXUS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR SPECIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR DIGITAL ASSETS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL NEXUS’S TOTAL AGGREGATE LIABILITY TO ANY USER EXCEED ONE HUNDRED U.S. DOLLARS (USD 100) OR ITS EQUIVALENT IN LOCAL CURRENCY.

11. Changes, Suspension, and Termination

Nexus may, at its discretion, modify, suspend, or terminate part or all of the Shop, including promotional programs, without prior notice.

If the Shop or related services are suspended due to legal, regulatory, or technical reasons, Nexus bears no obligation to provide compensation.

Reasons may include but are not limited to:

• Maintenance, upgrades, or system failures;
• Suspected illegal activity or fraud;
• Regulatory restrictions;
• Force majeure events.

Any notice of material change or suspension will be published via official Shop communication channels.

12. Data Privacy and Security

Nexus may collect anonymized or aggregated technical data (e.g., transaction volume, wallet connection type) solely for performance optimization and fraud prevention.

Nexus does not collect or store Users’ private keys, passwords, or identifiable wallet data.

Where third-party integrations (e.g., authentication, analytics) are used, such services are governed by their own policies.

Although Nexus follows industry-standard security practices, you acknowledge that blockchain transactions and smart contracts inherently involve risks beyond Nexus’s control.

12. Compliance with Laws

Users must comply with all applicable laws and regulations, including taxation, virtual asset trading, and cross-border transfer restrictions.

Nexus may restrict or block access to Users in jurisdictions where use of such services is prohibited by law.

You are solely responsible for determining whether your use of the Shop is lawful in your jurisdiction.

14. Indemnity

You agree to indemnify and hold harmless Nexus, its affiliates, officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from:

• Your breach of these Terms;
• Your use of the Shop or any third-party Game services;
• Any violation of law or infringement of third-party rights through your use of the Shop.

15. Acknowledgement of Risks

By using the Shop, you acknowledge that blockchain and Digital Asset transactions involve significant risks, including but not limited to:

• Market volatility and loss of value;
• Gas fee fluctuations;
• Smart contract vulnerabilities or failures;
• Regulatory or legal changes affecting accessibility;
• Third-party service disruptions.

You agree that Nexus is not responsible for any financial, technical, or operational losses arising from such risks.

16. Intellectual Property

All trademarks, logos, and copyrighted content related to the Shop belong to Nexus.

Third-party Game logos and item designs remain the property of their respective owners.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea.

Any dispute arising out of or in connection with these Terms shall be exclusively resolved by the Seoul Central District Court, and you hereby waive any right to participate in a class or collective action.
