Terms of Use

1. Introduction

The CROSS Shop (the "Shop") is operated by NEXUS HUB FZCO ("Operator"), an affiliate of Nexus Co., Ltd., Republic of Korea (“Nexus”).

Payment processing for transactions conducted through the Shop is structured according to the payment method selected by the User:

• Card and other traditional payment methods are processed directly by the Operator (NEXUS HUB FZCO), acting as the merchant and settlement party; and
• Virtual asset payments are contracted and settled by Nexus.
• Wallet-to-wallet virtual asset payments, branded as CROSS Pay, are provided and operated by the Operator.

By accessing or using the Shop, you acknowledge and agree that: (i) your service relationship for operation, fulfillment, refunds, and customer support is solely with the Operator; and (ii) your payment contractual counterparty may differ depending on the payment method selected as described above.

2. Definitions

• "CROSS Pay" means a wallet-to-wallet, non-custodial virtual asset payment function owned and developed by Nexus Co., Ltd., and implemented within the CROSS Shop by NEXUS HUB FZCO. CROSS Pay facilitates direct on-chain payments but does not hold, store, or manage Users’ digital assets.
• "Operator" means NEXUS HUB FZCO, responsible for the operation of the Shop, product listings, integrations with Games, service delivery, fulfillment, refunds, and customer support.
• "Payment Entity" means Nexus, acting solely as the payment contracting party for virtual asset payments.
• "Games" means third-party Web3 games integrated into the CROSS Platform.
• "Items" means blockchain-based in-game digital items issued by Games and made available through the Shop.

3. Nature of Service

The Shop allows Users to:

• Browse, list, and purchase blockchain-based in-game Items issued by third- party Games integrated into the CROSS Platform;
• Conduct transactions using Digital Assets directly through wallet-to-wallet (non-custodial) smart contract interactions; and
• Transfer purchased Items to their respective Games for in-game usage.

All transactions occur directly on-chain. Neither the Operator nor the Payment Entity holds or manages Users’ Digital Assets or Items, nor does either party hold custody of Users’ private keys, wallets, or credentials.

Nothing in these Terms shall be construed to create any custodial, brokerage, escrow, or advisory relationship between Users and either the Operator or the Payment Entity.

4. Eligibility

Users must be of legal age in their jurisdiction and must not be listed on any applicable sanctions or restricted persons list maintained by the United Nations, OFAC, European Union, Republic of Korea, or United Arab Emirates.

By using the Shop, you represent and warrant that:

• You are lawfully able to enter into transactions under these Terms;
• You comply with applicable AML/CTF, tax, and regulatory requirements; and
• Your wallet address is not associated with prohibited or sanctioned activity.

5. Security and Wallet Responsibility

The Shop is non-custodial. All transactions are executed from and to Users’ self- managed wallets. Neither the Operator nor the Payment Entity has access to, nor custody of, Users’ private keys, seed phrases, or passwords.

You are solely responsible for:

• Maintaining the security of your wallet, private keys, and devices;
• Verifying all transaction details before execution; and
• Bearing any losses arising from unauthorized access, loss of keys, or mistaken transfers.

Neither the Operator nor the Payment Entity shall be liable for any loss of Items or Digital Assets due to mishandling, negligence, or compromise of wallet security.

6. Wallet-to-Wallet Transactions

All purchases and transfers via the Shop are executed directly between blockchain addresses of Users and Games or their smart contracts.

Blockchain transactions are irreversible once confirmed, and neither the Operator nor the Payment Entity can reverse or modify confirmed on-chain transfers.

7. Fees and Gas Costs

All blockchain transactions are subject to network transaction fees. Users are responsible for ensuring sufficient balance to cover such fees.

During certain promotional campaigns, the Operator may temporarily subsidize or waive gas fees. Details of such promotions, including duration and applicable scope, will be announced through official Shop channels.

The Operator reserves the right to modify or terminate such promotions at its sole discretion.

8. Payments

8.1 Card Payments

All card-based transactions are processed by the Operator acting as merchant and settlement party. Any disputes or chargebacks related to card payments shall be handled by the Operator in accordance with applicable card network rules.

8.2 Virtual Asset Payments

All virtual asset payments are contracted and settled by the Payment Entity. Any payment disputes or settlement errors related to such transactions shall be handled by the Payment Entity.

8.3 Wallet-to-Wallet Payments (CROSS Pay)

For eligible transactions, Users may pay via CROSS Pay, a wallet-to-wallet non-custodial payment method operated by the Operator.

• Transactions occur directly between the User’s wallet and designated smart contracts.
• CROSS Pay does not store, hold, or manage User assets.
• CROSS Pay is not a custodial wallet, exchange, VASP, or payment institution.

9. Third-Party Services and Responsibility

The Operator and the Payment Entity merely provide an interface for decentralized transactions and do not act as broker, custodian, or escrow agent.

All Games and their smart contracts are developed and managed by third parties. Your interactions with such third parties are at your own risk and subject to their respective terms and privacy policies.

Neither the Operator nor the Payment Entity makes any representations or warranties regarding the authenticity, legality, security, or safety of any third-party smart contracts or content.

Without limiting the foregoing, neither the Operator nor the Payment Entity provides any guarantee, representation, or assurance as to the value, market price, liquidity, stability, investment potential, resaleability, continued demand, or future utility of any Item. Users acknowledge that Items are digital game-related assets intended solely for in-game use and enjoyment, and do not constitute any form of financial product, investment instrument, security, or promise of profit. Any perceived or actual market value of an Item may fluctuate or decline to zero at any time.

10. Acceptable Use

Users shall not:

• Engage in fraudulent, illegal, or manipulative activities;
• Circumvent AML/CTF laws or sanctions regulations;
• Disrupt system operations or exploit vulnerabilities; or
• Use automated or manipulative techniques to interfere with equality of access. Violations may result in suspension or termination.

11. Disclaimer and Limitation of Liability

YOU EXPRESSLY ACKNOWLEDGE THAT YOUR USE OF THE SHOP IS AT YOUR SOLE RISK.

THE SHOP, INCLUDING ALL CONTENT, FUNCTIONALITY, AND SMART CONTRACT INTERFACES, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOTH THE OPERATOR AND THE PAYMENT ENTITY SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

NEITHER THE OPERATOR NOR THE PAYMENT ENTITY GUARANTEES THAT:

• THE SHOP OR ITS SMART CONTRACTS WILL BE CONTINUOUS, ERROR-FREE, OR UNINTERRUPTED;
• ANY GAME OR ITEM WILL REMAIN AVAILABLE OR FUNCTION AS INTENDED; OR
• DIGITAL ASSET PRICES OR ITEM VALUES WILL REMAIN STABLE.

NEITHER THE OPERATOR NOR THE PAYMENT ENTITY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR SPECIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR DIGITAL ASSETS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF THE OPERATOR AND/OR THE PAYMENT ENTITY TO ANY USER EXCEED ONE HUNDRED U.S. DOLLARS (USD OR ITS EQUIVALENT IN LOCAL CURRENCY.

12. Changes, Suspension & Termination

The Operator may modify, suspend, or terminate any aspect of the Shop for legal, operational, or technical reasons without liability.

13. Data Privacy & Sharing

Limited personal and transaction information may be shared between the Operator and the Payment Entity solely for:

• Service operation;
• Payment processing;
• AML/CTF compliance;
• Fraud detection and prevention; and
• Regulatory or legal reporting obligations.

14. Compliance With Law

Users must comply with all applicable laws concerning digital assets, payments, sanctions, and taxation.

The Shop may restrict access from jurisdictions where the services are prohibited.

15. Indemnity

Users agree to indemnify and hold harmless the Operator and the Payment Entity from any claims arising from misuse of the Shop or violation of these Terms.

16. Risk Disclosure

Users acknowledge inherent risks including market volatility, smart contract vulnerabilities, gas fee variability, regulatory changes, and third-party service disruptions.

17. Intellectual Property

The Shop’s brands, trademarks, interfaces, and content belong to Nexus affiliates.

Game assets and logos remain the property of their respective owners.

19. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Korea.

All disputes shall be submitted exclusively to the Seoul Central District Court.
